About William T. Coleman

With more than 45 years of experience, William T. Coleman is Florida Bar certified as a specialist in Tax Law, including issues involving qualified retirement plans, ERISA, labor unions and public employee retirement systems. His practice focuses on organizing and structuring business entities including corporations, limited liability companies, limited partnerships and partnerships. He represents clients in matters involving tax planning; negotiation and structuring of business transactions; structuring shareholder agreements, limited liability operating agreements and partnership agreements for maximum tax benefit; corporate and business reorganizations; negotiation of purchase and sale agreements for businesses; tax planning for businesses and entrepreneurs; preparation of contracts, distribution agreements and independent contractor agreements for both domestic and international business entities; and structuring investments and businesses for inbound international clients.

Additionally, Mr. Coleman has extensive experience in estate planning and preparation of wills, trusts, durable powers of attorney and health care surrogate forms; planning for generational transfer of family businesses; probate; state and federal tax litigation; tax planning for divorce; tax planning for gay and lesbian couples, including state and business planning; formation and representation of not-for-profit entities and charities; and income tax, estate tax and gift tax audits.

Mr. Coleman earned his Bachelor of Arts degree, cum laude, from the University of Miami and his Juris Doctor from the University of Florida. He subsequently obtained his LL.M. in Taxation from the University of Miami School of Law.
